This FIRST AMENDED AND RESTATED EMPLOYMENT AGREEMENT (the “Agreement”), dated as of this 1st day of January, 2012 is by and between Corrections Corporation of America, a Maryland corporation with its principal place of business at 10 Burton Hills Boulevard, Nashville, Tennessee (the “Company”), and Harley G. Lappin, a resident of Brentwood, Williamson County, Tennessee (the “Executive”) and amends and replaces in its entirety that certain Employment Agreement, dated as of June 1, 2011, between the Company and the Executive.
