THIS CHANGE IN CONTROL AGREEMENT (this “Agreement”) is made and entered into effective as of January 1, 2012, by and between REGENERX BIOPHARMACEUTICALS, INC., a Delaware corporation (the “Company”), and DAVID R. CROCKFORD (the “Executive”).
