This AGREEMENT AND PLAN OF MERGER (this “Agreement”) is dated as of January 16, 2012 (the “Execution Date”), among BLACKBAUD, INC., a Delaware corporation (“Parent”), CARIBOU ACQUISITION CORPORATION, a Delaware corporation and a direct wholly-owned subsidiary of Parent (“Merger Sub”), and CONVIO, INC., a Delaware corporation (the “Company”).
