THIS ASSET PURCHASE AGREEMENT (this “Agreement”) is made as of December , 2011 (the “Effective Date”), by and between CASPER RETIREMENT, LLC, a South Dakota limited liability company, GRAND ISLAND RETIREMENT, LLC, a South Dakota limited liability company, BILLINGS RETIREMENT, LLC, a South Dakota limited liability company, MARION RETIREMENT, LLC, a South Dakota limited liability company and MANSFIELD RETIREMENT, LLC, a South Dakota limited liability company (each a “Seller” and collectively “Sellers”), and CNL PROPERTIES TRUST, LP, a Delaware limited partnership (“Purchaser”) (Sellers and Purchaser are at times hereinafter referred to individually as a “Party” and collectively as the “Parties”).
