(“Imperial or Seller”) a Nevada corporation having its principal place of business located at 710 Norfleet Drive, Middletown, IN 47356 as SELLER and Eleven Energy Corporation, (“Eleven or Buyer”), a Florida corporation located at 2202 North West Shore Blvd. Suite 200 Tampa, Florida 33607 as BUYER.
