(“Prosperity”), a Texas corporation and financial holding company pursuant to the Gramm-Leach Bliley Act (“GLB Act”) and bank holding company registered under the Bank Holding Company Act of 1956, as amended (“BHC Act”), and American State Financial Corporation (the “Company”), a Texas corporation and bank holding company registered under the BHC Act.
