THIS SEVENTH AMENDMENT TO CREDIT AGREEMENT (this “Amendment”) is made the 31st day of March, 2011, by and among THE ST. JOE COMPANY, a Florida corporation, ST. JOE TIMBERLAND COMPANY OF DELAWARE, L.L.C., a Delaware limited liability company, ST. JOE FINANCE COMPANY, a Florida corporation, the LENDERS listed on the signature pages hereof and BRANCH BANKING AND TRUST COMPANY, as Administrative Agent.

This STOCKHOLDER AGREEMENT, dated as of September 14, 2011 (this “Agreement”), is by and between The St. Joe Company, a Florida corporation (together with any successor entity thereto, the “Company”), on the one hand, and the Fairholme Fund, a series of The Fairholme Funds (“Fund”), and Fairholme Capital Management, L.L.C., a Delaware limited liability company (“Fairholme Management”), on behalf of the Fairholme Accounts (other than the Fund), on the other hand (the Fund and Fairholme Management, on behalf of the Fairholme Accounts (other than the Fund), collectively, the “Fairholme Parties”). The Company, Fund and Fairholme Management, on behalf of the Fairholme Accounts (other than the Fund), are sometimes referred to herein as a “Party” and collectively as the “Parties.”
