THIS AGREEMENT is made as of November 28, 2011 between SECURITY INCOME FUND, a Kansas corporation (hereinafter referred to as the “Fund”), and GUGGENHEIM PARTNERS ASSET MANAGEMENT, LLC (hereinafter referred to as the “Investment Adviser”), a Delaware limited liability company registered as an investment adviser under the Investment Advisers Act of 1940, as amended (“Advisers Act”).
