This AMENDED AND RESTATED LOAN AND SECURITY AGREEMENT (this “Agreement”) dated as of February 28, 2012 (the “Effective Date”) is among SILICON VALLEY BANK, a California corporation (“Bank”), and EDGAR® ONLINE, INC., a Delaware corporation (“EOI”) and UBMATRIX, INC., a Washington corporation (“UBM”; each of EOI and UBM are individually and collectively referred to herein as the “Borrower”), and provides the terms on which Bank shall lend to Borrower, and Borrower shall repay Bank.
