This AGREEMENT AND PLAN OF MERGER, dated as of March 3, 2012 (this “Agreement”), is among Plato Learning, Inc., a Delaware corporation (“Parent”), Project Cayman Merger Corp., a Delaware corporation and a wholly owned Subsidiary of Parent (“Merger Sub”), and Archipelago Learning, Inc., a Delaware corporation (the “Company”).
