This STOCK PURCHASE AGREEMENT (this “Agreement”) is made as of March 5, 2012, by and among Arnold Magnetic Technologies, LLC, a Delaware limited liability company (“Seller”), Arnold Magnetic Technologies Holdings Corporation, a Delaware corporation (the “Company”), and AMT Acquisition Corp., a Delaware corporation (“Buyer”).
