This CREDIT AGREEMENT (“Agreement”) is entered into as of March 2, 2012, among AMERICAN EAGLE OUTFITTERS, INC. (the “Company”), AEO MANAGEMENT CO. (“AMC”), AEO INTERNATIONAL CORP. (“AIC”, and together with the Company and AMC, each a “U.S. Borrower” and collectively, the “U.S. Borrowers”), AE NORTH HOLDINGS CO.
