SBA Communications Corporation, a Florida corporation (the “Company”), proposes to sell to Citigroup Global Markets Inc. and J.P. Morgan Securities LLC (the “Underwriters”) 6,005,000 shares (the “Stock”) of the Class A Common Stock, par value $0.01 per share (the “Common Stock”) of the Company. This is to confirm the agreement concerning the purchase of the Stock from the Company by the Underwriters.
