THIS SECOND AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) is made by and between Carriage Services, Inc., a Delaware corporation (the “Company”) and Melvin C. Payne, a resident of Harris County, Texas (“Employee”). Employee and the Company are referred to individually herein as a “Party” and collectively as the “Parties.”
