THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into as of March 30, 2012, by and between Cinemark Holdings, Inc., a Delaware corporation (the “Company”), and Timothy Warner (“Executive”).
