This AMENDED AND RESTATED CREDIT AGREEMENT (this “Agreement”) is dated as of April 3, 2012, among PAN-ASIA iGATE SOLUTIONS, a company incorporated under the laws of Mauritius (the “Borrower”), the banks, financial institutions and other institutional lenders party hereto (each, a “Lender”; together with any other person that becomes a Lender hereunder pursuant to Section 10.07, the “Lenders”), and DBS BANK LTD., SINGAPORE (“DBS Bank”), as administrative agent (or any successor appointed pursuant to Section 9.09, the “Administrative Agent”) for the Lenders and the other Secured Parties (each as hereinafter defined).
