We refer to Section 12.11.1 of the Credit Agreement, dated as of March 15, 2010 and as amended and restated as of March 26, 2012 (together with all amendments and other modifications, if any, from time to time thereafter made thereto, the “Credit Agreement”), among Royal Caribbean Cruises Ltd., a Liberian corporation (the “Borrower”), the various financial institutions (the “Lenders”) as are, or shall from time to time become, parties thereto, and Skandinaviska Enskilda Banken AB (publ), as administrative agent (the “Administrative Agent”) for the Lenders. Unless otherwise defined herein or the context otherwise requires, terms used herein have the meanings provided in the Credit Agreement.

THIS AMENDED AND RESTATED CREDIT AGREEMENT, dated as of May 7, 2009 as amended and restated as of March 26, 2012, is among ROYAL CARIBBEAN CRUISES LTD., a Liberian corporation (the “Borrower”), the various financial institutions as are or shall become parties hereto (collectively, the “Lenders”) and BNP PARIBAS (“BNPP”), as administrative agent (in such capacity, the “Administrative Agent”) for the Lenders.
