THIS AGREEMENT is made this 16 day of July, 2010 among WELLS FARGO VARIABLE TRUST, a statutory trust formed under the laws of Delaware (the “Trust”), THE GUARDIAN INSURANCE & ANNUITY COMPANY, INC., a Delaware life insurance company (the “Company”), on its own behalf and on behalf of each segregated asset account of the Company set forth on Schedule A, as may be amended from time to time (the “Accounts”) and GUARDIAN INVESTOR SERVICES LLC (the “Insurance Underwriter”), a broker-dealer affiliated with the Company.

This Agreement is effective as of February 29, 2012 (the “Effective Date”), by and between American Financial Systems, Inc., a Massachusetts corporation having its principal place of business at 404 Wyman Street, Suite 100, Waltham, MA 02451 (“AFS”), and The Guardian Life Insurance Company of America, having its principal place of business at 7 Hanover Square, New York, New York 10004 (“Insurer”).
