THIS AGREEMENT, made as of the 30th day of April, 2007, by and between NEUBERGER BERMAN ADVISERS MANAGEMENT TRUST (“TRUST”), NEUBERGER BERMAN MANAGEMENT INC. (“NB MANAGEMENT”), a New York corporation, and THE NORTHWESTERN MUTUAL LIFE INSURANCE COMPANY (“LIFE COMPANY”), a life insurance company organized under the laws of the State of Wisconsin.
