This Agreement is entered into as of the 1st day of January, 1997, between MONY LIFE INSURANCE COMPANY OF AMERICA, a life insurance company organized under the laws of the State of Arizona (“Insurance Company”), and each of DREYFUS VARIABLE INVESTMENT FUND, THE DREYFUS SOCIALLY RESPONSIBLE GROWTH FUND, INC. and DREYFUS LIFE AND ANNUITY INDEX FUND, INC. (d/b/a DREYFUS STOCK INDEX FUND) (each a “Fund”).

This Amendment to the Fund Participation Agreement (“Agreement”) dated July 12,2000, as amended, between Janus Aspen series, an open-end management investment company organized as a Delaware business trust (the “Trust”), and MONY Life Insurance Company of America, an Arizona life insurance company (the “Company”) is effective as of May 1,2003.

The Fund Participation Agreement dated the 1st day of January, 1997 by and between MONY Life Insurance Company of America, a life insurance company organized under the laws of the State of Arizona and MONY Life Insurance Company, a life insurance company organized under the laws of the State of New York; and each of DREYFUS VARIABLE INVESTMENT FUND, THE DREYFUS SOCIALLY RESPONSIBLE GROWTH FUND, INC., DREYFUS LIFE AND ANNUITY INDEX FUND, INC. (d/b/a DREYFUS STOCK INDEX FUND), and DREYFUS INVESTMENT PORTFOLIOS is hereby amended as of May 15, 2002.
