THIS SECOND AMENDMENT, effective as of March 15, 2011, to the Fund Administration Servicing Agreement dated November 15, 2007, as amended March 1, 2010 (the “Agreement”), is entered into by and between Wintergreen Fund, Inc., a Maryland corporation (the “Fund” or “Company”) and U.S. Bancorp Fund Services, LLC, a Wisconsin limited liability company (“USBFS”).
