THIS AMENDMENT dated August 1, 2011 amends the Participation Agreement entered into as of the 17th day of November, 2005, as amended to date, (the “Agreement”) by and among Massachusetts Mutual Life Insurance Company, MML Bay State Life Insurance Company, C.M. Life Insurance Company, each on their own behalf and on behalf of each segregated asset account of each insurance company, and MML Series Investment Fund II.

This Investment Sub-Sub-Advisory Agreement (this “Sub-Sub-Advisory Agreement”), is by and between Baring International Investment Limited (“BIIL”) and Baring Asset Management (Asia) Limited (“BAMA”), for the MML China Fund (the “Fund”), a series of MML Series Investment Fund II (the “Trust”), a Massachusetts business trust which is an open-end diversified management investment company registered as such with the Securities and Exchange Commission (the “Commission”) pursuant to the Investment Company Act of 1940, as amended (the “Act”), effective as of the 15th day of December, 2011.
