A Vimicro Corporation, a company with limited liability incorporated and existing under the laws of People’s Republic of China (“PRC”), whose registered office is at 15/F, Shining Tower, No. 35 Xueyuan Road, Beijing, P.R.C, together with its affiliates, as one party (“Party A”); and

WHEREAS Party A has applied for a loan from Party B and Party B has agreed to provide a loan to Party A for Party A’s research and development, design and industrialization of digital high-definition surveillance chips and systems, Party A and Party B hereby enter into this Contract on the basis of mutual consensus in accordance with the relevant laws and regulations and to be complied with by both parties.
