This Securities Purchase Agreement (“Agreement”), dated as of May 28, 2012 (“Effective Date”), is by and between Cell Therapeutics, Inc., a Washington corporation (the “Company”), and Socius CG II, Ltd., a Bermuda exempted company (including its designees, successors and assigns, the “Investor”).
