INCREMENTAL ASSUMPTION AGREEMENT (this “Agreement”), dated as of June 11, 2012, among ALLSCRIPTS HEALTHCARE SOLUTIONS, INC., a Delaware corporation (“Allscripts Inc”) and ALLSCRIPTS HEALTHCARE, LLC, a North Carolina limited liability company (“Allscripts LLC”; Allscripts Inc and Allscripts LLC are individually and collectively, the “Borrower”), the 2012 INCREMENTAL TERM LENDERS (as defined below) party hereto, J.P.
