THIS FIRST SUPPLEMENTAL INDENTURE dated as of June 26, 2012 (this “Supplemental Indenture”), among Pioneer Natural Resources Company, a Delaware corporation (the “Company”), Pioneer Natural Resources USA, Inc., a Delaware corporation, for purposes of agreeing to make certain guarantees pursuant to Section 4 hereof (the “Guarantor”), and Wells Fargo Bank, National Association, a national banking association organized under the laws of the United States of America, as trustee (the “Trustee”).
