THIS ACQUISITION AND STOCK PURCHASE AGREEMENT (this “Agreement”) is entered into as of June 25, 2012 (the “Effective Date”), by and among Solar Power, Inc., a California corporation, (“Purchaser”), SOLAR GREEN TECHNOLOGY SPA, an Italian Limited Liability (Joint Stock) Company (the “Company”), and the security holders of the Company listed on the signature pages hereto (the “Shareholders”).
