THIS PURCHASE AND SALE AGREEMENT (this “Agreement”), dated July 16, 2012 is by and between Penn Virginia Oil & Gas Corporation, a Virginia corporation whose mailing address is 1000 Town Center Way, Suite 210, Canonsburg, Pennsylvania 15317 (“Seller”), and EnerVest Energy Institutional Fund XII-A, L.P., a Delaware limited partnership, whose mailing address is 1001 Fannin Street, Suite 800, Houston, Texas 77002, EnerVest Energy Institutional Fund XII-WIB, L.P., a Delaware limited partnership, whose mailing address is 1001 Fannin Street, Suite 800, Houston, Texas 77002, and EnerVest Energy Institutional Fund XII-WIC, L.P., a Delaware limited partnership, whose mailing address is 1001 Fannin Street, Suite 800, Houston, Texas 77002 (collectively, “Buyer” and individually, “each Buyer”, “any Buyer” and “such Buyer”).
