This Registration Rights Agreement (this “Agreement”) is dated as of July 18, 2012, by and among Beazer Homes USA, Inc., a Delaware corporation (the “Company”), and each of the Guarantors (as defined herein) (the Company and the Guarantors are referred to collectively herein as the “Issuers”), on the one hand, and Credit Suisse Securities (USA) LLC, Goldman, Sachs & Co., Deutsche Bank Securities Inc., UBS Securities LLC and Citigroup Global Markets Inc., for themselves and as representatives (the “Representatives”) of the Initial Purchasers (as defined herein), on the other hand.
