This SENIOR SECURED CREDIT AGREEMENT, dated as of July 25, 2012, is made by and among CHOICE HOTELS INTERNATIONAL, INC., a Delaware corporation (the “Borrower”), the Lenders referred to herein, DEUTSCHE BANK AG NEW YORK BRANCH, as administrative agent for the Lenders (in such capacity, together with any successor administrative agent appointed in accordance with Section 8.09, the “Administrative Agent”), DEUTSCHE BANK SECURITIES INC. and WELLS FARGO SECURITIES, LLC, as joint lead arrangers (the “Arrangers”), DEUTSCHE BANK SECURITIES INC. and WELLS FARGO SECURITIES, LLC, as joint book-running managers (the “Book-Running Managers”), WELLS FARGO BANK, NATIONAL ASSOCIATION, as syndication agent (the “Syndication Agent”), and BANK OF AMERICA, N.A., JPMORGAN CHASE BANK, N.A., SUNTRUST BANK and PNC BANK, NATIONAL ASSOCIATION, as co-documentation agents.
