Notwithstanding the foregoing, the undersigned may transfer (a) up to 10,000 shares of Common Stock held of record or that may be deemed to be beneficially owned by the undersigned or (b) shares of Common Stock held of record or that may be deemed to be beneficially owned by the undersigned pursuant to any 10b5-1 trading plan in effect prior to the date of the Prospectus in accordance with the rules and regulations of the Securities and Exchange Commission, in each case, without the prior written consent of the Representatives, provided that, in each case, the undersigned does not effect any public filing or report regarding such matters other than such filings or reports that are required by law.
