(the “Company”) entered into an Agreement and Plan of Merger dated as of July 1, 2012 (the “Merger Agreement”) among Linde AG, a stock corporation organized under the Laws of Germany, Linde US Inc., a Delaware corporation and wholly owned indirect subsidiary of Parent, and the Company.
