THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) between FIRST BANCORP (the “Company”) and Lawrence Odell (or “L. Odell”) is entered into on April 25, 2012 and effective as of April 1, 2012. This Agreement amends, restates and supersedes the Employment Agreement between the Company and L. Odell dated February 15, 2006 (the “Previous Agreement”) and all of the Previous Agreement’s corresponding amendments.
