This REGISTRATION RIGHTS AGREEMENT dated August 15, 2012 (the “Agreement”) is entered into by and among Advanced Micro Devices, Inc., a Delaware corporation (the “Company”) and J.P. Morgan Securities LLC (“JPMorgan”), for itself and the other the several Initial Purchasers listed on Schedule 1 hereto (the “Initial Purchasers”).
