This Securities Purchase Agreement (the “Agreement”) is entered into as of June 25, 2012 (the “Effective Date”), between Cortex Pharmaceuticals, Inc., a Delaware corporation (the “Company”), and Samyang Optics Co., Ltd., a South Korean corporation (the “Purchaser”).
