THIS LIMITED LIABILITY COMPANY OPERATING AGREEMENT (this “Agreement”) of H.I.G. WhiteHorse Holdings, LLC (the “Company”) dated as of January 1, 2012 is entered into by and among the Company, the Investment Adviser and each of the other Persons (as defined below) executing this Agreement (the “Existing Members”) and those other Persons who become Members (as defined below) of the Company from time to time, as hereinafter provided.
