THIS INDENTURE, dated as of SEPTEMBER , 2012, is between FMC TECHNOLOGIES, INC., a corporation duly organized and existing under the laws of the State of Delaware (herein called the “Company”), having its principal office at 5875 North Sam Houston Parkway West, Houston, Texas 77086, and U.S. BANK NATIONAL ASSOCIATION, a national banking association having a corporate trust office at 555 San Felipe, Suite 1150, Houston, Texas 77056, as Trustee (herein called the “Trustee”).
