This TERM LOAN AGREEMENT is entered into as of September 18, 2012, among Computer Sciences Corporation, a Nevada corporation (the “Borrower”), the financial institutions (the “Banks”) listed on Schedule II hereof, and The Bank of Tokyo-Mitsubishi UFJ, Ltd. (“BTMU”), as administrative agent (the “Agent”) for the Lenders hereunder.
