THIS EMPLOYMENT AGREEMENT (the “Agreement”) is revised effective September 18, 2012 (the “Effective Date”) by and between U.S. Auto Parts Network, Inc., a Delaware corporation (the “Company”), and Aaron Coleman, an individual (the “Executive”). This Agreement was initially effective on April 3, 2008 (the “Initial Effective Date”) and was subsequently amended on March 29, 2010.
