THIS FIRST AMENDED AND RESTATED ADVISORY AGREEMENT (this “Agreement”), dated as of September 27, 2012 and effective on the Effective Date, is by and between Jones Lang LaSalle Income Property Trust, Inc., formerly Excelsior LaSalle Property Fund, Inc., a Maryland corporation (the “Company”), and LaSalle Investment Management, Inc., a Maryland corporation (the “Advisor” and together with the Company, the “Parties”). Capitalized terms used herein shall have the meanings ascribed to them in Section 1 below.
