THIS JOINDER AGREEMENT (the “Agreement”) dated as of , 201 is by and between , a (the “Material Subsidiary”), and U.S. Bank National Association (“U.S. Bank”) under that certain Loan Agreement (as amended, modified, supplemented and extended from time to time, the “Loan Agreement”) dated as of October [ ], 2012 among Teledyne Technologies Incorporated, a Delaware corporation (the “Borrower”), the Guarantors identified therein and U.S. Bank.
