This Agreement provides both for the sale of Securities and any other securities that may be offered by post-effective amendment to the Registration Statement (as hereinafter defined) by the Company directly to purchasers through the Agents, in which case the Agents will act as agents of the Company in soliciting Security purchasers, and (as may from time to time be agreed to by the Company and the Agents) to the Agents as principals for resale to purchasers.
