Agreement and Plan of Merger (this “Agreement”), dated as of November 8, 2012, among SUN PHARMACEUTICAL INDUSTRIES LIMITED, a corporation organized under the laws of India (“Parent”), Caraco Acquisition Corporation, a New Jersey corporation and indirect wholly-owned subsidiary of Parent (“Merger Sub”), and DUSA PHARMACEUTICALS, INC., a New Jersey corporation (the “Company”).
