This Consulting Agreement (“Agreement”) is made effective as of the 12th day of November, 2012 (“Effective Date”) by and between Tornier, Inc., and all subsidiaries and affiliates owned or controlled, directly or indirectly, by Tornier (“Tornier”), located at 10801 Nesbitt Avenue South, Bloomington, MN 55437, and Douglas W. Kohrs (“Consultant”) (Tornier and Consultant being referred to individually as “Party” and collectively as “Parties”).
