This Restated Executive Employment Agreement (the “Agreement”) is made effective as of November 14, 2012 (“Effective Date”), by and between JDA Software Group, Inc., a Delaware corporation (“Company”) and Hamish Brewer (“Executive”) (either party individually, a “Party”; collectively, the “Parties”).

This Restated Confidential Separation and Release Agreement (the “Agreement”) is entered into as of September 26, 2012, by G. MICHAEL BRIDGE (“Executive”) and JDA SOFTWARE GROUP, INC. (“JDA”), and restates and supersedes in its entirety the Confidential Separation and Release Agreement entered into between Executive and JDA as of March 2, 2012. This Agreement will not become effective until the expiration of seven (7) days from the date of Executive’s execution of this Agreement.
