THIS REGISTRATION RIGHTS AGREEMENT (the “Agreement”) is made and entered into as of November 26, 2012, by and among VIACOM INC., a Delaware corporation (the “Company”) and CITIGROUP GLOBAL MARKETS INC., MIZUHO SECURITIES USA INC. and MORGAN STANLEY & CO. LLC, in their respective capacities as initial purchasers and as representatives of each of the other initial purchasers named in Schedule A hereto (collectively, the “Initial Purchasers”).
