Costco Wholesale Corporation, a Washington corporation (the “Company”), proposes, subject to the terms and conditions stated herein, to issue and sell to the Underwriters named in Schedule I hereto (the “Underwriters”), for whom J.P. Morgan Securities LLC and Merrill Lynch, Pierce, Fenner & Smith Incorporated are acting as representatives (the “Representatives”), an aggregate of $1,200,000,000 principal amount of 0.650% Senior Notes due 2015, $1,100,000,000 principal amount of 1.125% Senior Notes due 2017 and $1,200,000,000 principal amount of 1.700% Senior Notes due 2019 (collectively, the “Securities”).
