THIS AGREEMENT AND PLAN OF REORGANIZATION (the “Agreement”) is made as of this 22nd day of May, 2012 by RUSSELL INVESTMENT COMPANY (the “Trust”), a Massachusetts business trust, on behalf of the Russell U.S. Defensive Equity Fund (the “Acquiring Fund”), and the Trust on behalf of the Russell U.S. Value Fund (the “Target Fund” and together with the Acquiring Fund, each a “Fund” and collectively the “Funds”), each a separate series of the Trust. The principal place of business of the Trust is 1301 Second Avenue, 18th Floor, Seattle, Washington 98101.
