This amended and restated Management Retention Agreement (the “Agreement”) is made and entered into by and between Laura Alber (the “Executive”) and Williams-Sonoma, Inc. (the “Company”), effective as of the last date signed below (the “Effective Date”). This Agreement supersedes and replaces in its entirety the prior management retention agreement between the parties hereto that was initially effective as of June 11, 2010 (the “Prior Management Retention Agreement”).

(the “Parent”) and Bank of America, N.A. (the “Bank”). Capitalized terms used but not defined herein have the respective meanings given to them in the Reimbursement Agreement.
