NOTE EXCHANGE AGREEMENT, dated as of December 19, 2012 (this “Agreement”), by and among Primus Telecommunications Holding, Inc. (the “Company”) and each of the parties listed on the signature pages hereto (each a “Noteholder”, and collectively, the “Noteholders”).
